Contract law falls under the law of obligations. When two or more parties agree on arrangements in writing or orally, an agreement exists. One party is required to provide a specific performance, and the other party is entitled to a performance.
There are no formal requirements for drawing up an agreement or contract; this means that it is form-free. Parties may choose for themselves whether to agree on the agreement or contract orally or to establish it in writing. Parties may also choose for themselves what is included in the contract.
If the party fails to adhere to the agreement, this constitutes a breach of contract, also known as 'non-performance' or 'failure to perform'. When the party suffers damage (also referred to as the injured party or creditor), the other party (the debtor) is liable for the damage suffered. If, due to the failure to perform, the injured party no longer wishes to maintain the agreement, it is possible to dissolve the agreement. The consequences of the agreement are then reversed as much as possible. If damage remains after the dissolution, this damage is claimed from the debtor.
When parties enter into an agreement, all important information or important communications must be disclosed. If this is not done, it constitutes fraud. In that case, the agreement between the parties is annulled. Fraud occurs when one party provides the other party with an incorrect or false representation of the facts. An agreement may not be concluded through fraud, error, or abuse of circumstances. If this applies, the agreement between the parties is annulled.
