Drafting a contract for services, why?

Not every entrepreneur knows exactly what a contract for services is, when you need one, and which risks it must cover. That is why we explain below what this document entails, what you should look out for, and why customized legal solutions are important.

What is a contract for services?
A contract for services is the agreement pursuant to Article 7:400 of the Dutch Civil Code (BW) whereby the contractor undertakes to perform work for the client, other than on the basis of an employment contract. The contract for services is the legal basis for most business services: from advisory and consultancy assignments to creative projects, technical services, and legal guidance. It differs from an employment contract in that the contractor is not an employee — there is no hierarchical relationship, no payment of wages, and no protection against dismissal. It differs from a contract for work in that the contractor has an obligation of effort, not an obligation of result. As of January 1, 2025, the Tax and Customs Administration is fully enforcing the DBA Act, making the classification question more urgent than ever. Our lawyers will draft a contract for services for you that is compliant with the DBA Act, watertightly defines the scope and deliverables, effectively limits liability, and protects the termination provisions.
How do you distinguish a contract for services from an employment contract?
This is the most legally critical question regarding contracts for services in 2025. In the Deliveroo ruling (2023), the Supreme Court reformulated the three characteristics of an employment contract: work, wages , and authority. Authority is the most decisive element: who determines how, when, and where the work is performed? If the client gives instructions regarding the method of execution, determines the working hours, and integrates the contractor as if he were a regular employee, there is a case of authority. Your contract for services must contractually anchor the independence of the contractor: free interpretation of the working method, right to substitution, working for multiple clients, own professional risk, no right to continued payment of wages during illness. The contractual provisions must reflect the actual working method. Our lawyers assess your contract for services for the risk under the Dutch Employment Relationships Act (Wet DBA).
How do you regulate the client's right of termination?
Pursuant to Article 7:408 of the Dutch Civil Code, the client may terminate a contract for services at any time. Without a contractual arrangement, the client may terminate the assignment with immediate effect, in which case the contractor is entitled only to compensation for work already performed, not for future remuneration. Your contract for services must stipulate a notice period—typically one to three months—and state that the client owes compensation for the notice period if the termination is shorter. For project assignments: determine whether the contractor is entitled to the full project fee upon early termination or only to the work already performed.
