Custom choices

Which choices determine the content?

Before drafting the contract, a few key questions determine which provisions you need and how substantial the guarantees must be.

Choice or question Why this matters legally
Are you selling only the website or the entire business? The sale of an operational webshop also includes contracts, inventory, personnel, and goodwill, which significantly expands the contract.
Who built the website and who holds the copyright? If an external agency built the site, you must first check whether those rights were ever transferred to the seller before the seller can resell them.
Are personal data included? Customer, newsletter, or account data falls under the GDPR; the transfer requires a valid legal basis and careful information to the data subjects.
How is the purchase price paid and secured? For a large amount, payment via an escrow account or a suspensive condition is advisable, so that delivery and payment accrue simultaneously.
Does the seller remain involved after the sale? Agree on whether the seller will assist with the handover, maintenance, or an onboarding period, and whether there is compensation for this.
Clauses and provisions

Which sections belong in a website sales contract?

A good sales contract describes exactly what is being transferred, at what price, and under what guarantees. Below are the elements that belong in virtually every sales contract for a website.

Provision Relevant to Legal point of attention
Description of the item sold Always Specify concretely which website, domain name(s), source code, content, accounts, and data are being sold, so that there is no discussion regarding the scope.
Transfer of copyright and IP Always Copyright on code and content does not automatically transfer upon a sale; record the transfer expressly and in writing (Article 2 of the Copyright Act).
Purchase price and payment Always Determine the amount, the time of payment, and whether payment is made in installments or via an escrow account.
Delivery and completion Always Describe how and when access, files, domain name, and accounts are transferred (legal delivery, Article 3:84 of the Dutch Civil Code).
Seller's warranties Always The seller guarantees, among other things, that he is the owner, that no third-party rights are violated, and that the site functions as described.
Indemnification Often The seller indemnifies the buyer against claims from third parties, for example regarding copyright on photos or used plugins.
Transfer of customer and visitor data At webshop or community Personal data may only be transferred within the limits of the GDPR; establish the legal basis and the duty to inform.
Non-competition and confidentiality Upon sale of the company Prevent the seller from immediately starting a competing site or sharing confidential information.
Use in practice

How do you use this document correctly?

A sales contract only works if you use it at the right time and actually carry out the agreed transfer. Follow these steps.

Situation What should you do? Point of attention
Before the negotiation Inventory exactly what is being sold and who holds the rights This way, you know whether the seller is authorized to transfer everything and avoid surprises afterwards.
Upon closing Have both parties sign the contract before delivery A signed contract records the agreements and guarantees before money or access is exchanged.
Upon transfer Demonstrably transfer domain name, hosting, accounts, and files The legal transfer is only complete when the buyer has factual and legal possession of everything (Article 3:84 of the Dutch Civil Code).
After the transfer Keep the contract and the transfer certificates In the event of a later claim by a third party or a dispute regarding warranties, this is your proof.
Common mistakes

Common mistakes

When selling a website, things often go wrong at the same points. Below are the most common mistakes and how to avoid them.

Wrong Consequence Better approach
Do not expressly transfer copyright The buyer receives the files but not the rights and may not freely modify or exploit the site Include an explicit transfer provision (Article 2 of the Copyright Act).
Forgot to check if the builder ever transferred the rights The seller sells rights that he does not own himself Request the original agreement with the web agency and check the chain of rights.
Exclude domain name from the contract The website is worthless without the accompanying domain Specify the domain name explicitly and arrange the transfer with the registrar.
Transferring customer data without a GDPR basis Fine or complaint to the Dutch Data Protection Authority and reputational damage Ensure a valid legal basis and inform the parties involved about the transfer.
Do not link payment and delivery The seller delivers but does not get paid, or vice versa Work subject to a suspensive condition or payment via an escrow account.
Risk profile

What is your situation and what do you pay attention to?

The points of attention vary depending on the situation. Identify your position below and see where you need to be particularly vigilant.

Risk profile Example Focus in the document
You are selling a hobby site or blog A simple website without a business or large turnover Pay particular attention to the transfer of copyright, content, and domain name.
You are selling a running webshop A website with revenue, inventory, customers, and suppliers In addition to IP rights, also regulate the transfer of contracts, data, inventory, and goodwill.
You are buying a website You want to be sure that you get all rights and access Enforce warranties and indemnities and verify whether the seller is genuinely entitled to them.
The website was built by an external agency The rights may still lie with the builder Check the chain of rights and demand a guarantee that the seller is authorized to transfer.
Additional documents

When is this document not enough?

Sometimes a website sales contract does not cover everything. In these situations, you need a supplementary or different document.

Situation Supplementary document Why
Situation Related document Explanation
You only want to sell the domain name separately Domain name sales contract If it concerns only the domain without a website, use a targeted sales contract for the domain name.
You are primarily transferring the copyright Copyright sales contract If you wish to transfer the rights to content or code without a complete website, a copyright sales contract is more suitable.
The buyer has a third party process the data Data Processing Agreement If personal data is processed by an external party after the transfer, a data processing agreement is mandatory (Article 28 GDPR).
Explanation of this document

Drafting a website sales contract, why?

Not every entrepreneur knows exactly what a website sales contract is, when you need one, and which risks they must cover. That is why we explain below what this document entails, what you should look out for, and why customized legal solutions are important.

What is a sales contract for a website?
A website sales contract is the agreement whereby the owner of a website sells that website to a buyer. A website is a bundle of rights and assets: the domain name, the copyright on the website texts, images, and code, any trademark rights, the hosting contracts, the customer and email files, and the associated contracts with advertisers or partners. The website sales contract must identify all these components and correctly regulate the transfer of each part. Unlike a share transaction or asset transaction of a fully-fledged company, a website sale typically involves a relatively simple asset transfer. Our lawyers will draft a website sales contract for you that correctly identifies all components of the website, properly documents the transfer of copyrights, transfers the customer database in compliance with the GDPR, and clearly formulates the seller's guarantees.
How do you arrange the transfer of copyright on the website?
The website typically contains multiple copyrighted works: text, images, video, code, and graphic design. The website owner does not always own all copyrights: text may have been written by freelancers who have not transferred their copyright, images may have been used under a stock license, and the website code may contain open-source components. Your sales contract must inventory the copyright position and guarantee the seller that they own all rights or hold the necessary licenses. As of 2026, the transfer of copyright requires a written deed. Our lawyers assess the copyright position and draft the necessary transfers.
How does it work at MKBjuristen?
After a brief intake, our lawyers draft a website sales contract that correctly identifies all components, properly documents the copyright transfer, transfers the customer database in compliance with the GDPR, and clearly formulates the seller's warranties.
Are you unsure whether your document is legally correct? We would be happy to assess the sensible course of action: drafting, reviewing, or amending.

Why not use a standard document?

A standard document often seems like a quick solution, but usually does not fully align with your company, agreements, risks, and way of working. Our legal experts draft documents that fit your situation.

Standard document

Not tailored to your business
Tailored to your company, industry, and working methods

A legal document only has value if it suits your practice. That is why we look not only at the text, but also at how you use the document in your business.

Common mistakes with legal documents

A legal document often seems simple, but small errors can have major consequences later on. In practice, we see that entrepreneurs run the greatest risk when a document does not align well with their business, agreements, or way of working.

  • Using a standard document that does not suit the company
  • Forgot important agreements regarding payment, delivery, liability, or termination
  • Have a document generated without legal review
  • Continuing to use old documents while the company has changed
  • Not knowing how the document should be used correctly in practice

A legal document only prevents problems if it suits your situation. That is why we look not only at the text, but also at your company, agreements, and risks.

Why is a standard document often not enough?

Because a standard document does not take into account your industry, customers, risks, and specific agreements, important provisions may be missing or not align well with your practice.

Can I create a legal document myself using AI?

AI can assist in creating text, but does not independently assess whether the document is legally appropriate, complete, and usable for your business. Legal review therefore remains important.

When do I need to have my document checked?

Have your document checked if your business has changed, you have new customers or services, you have doubts about existing agreements, or the document has not been updated for a long time.

Will I also receive an explanation about the use of the document?

Yes. We explain how to use the document in practice, what to look out for, and which steps are important to prevent disputes afterwards.
