Drafting an inventory rental agreement, why?

Not every entrepreneur knows exactly what inventory lease agreements are, when they are needed, and which risks they must cover. Therefore, we explain below what this document entails, what to look out for, and why legal customization is important.

What is an inventory lease agreement?
An inventory lease agreement is the agreement whereby the lessor makes movable property—furniture, equipment, machinery, vehicles, or other business inventory—available to a lessee in exchange for payment of a periodic rental fee. The inventory lease agreement falls under the general tenancy provisions of Title 7.4 of the Dutch Civil Code for movable property, which are, however, considerably less mandatory than residential or commercial tenancy law. The lessor and lessee have considerable freedom to structure the terms themselves. Inventory lease agreements are concluded for the rental of office inventory to start-up companies, the rental of hospitality furniture and equipment, the rental of event and conference materials, and the rental of production machinery to manufacturers. How do you correctly describe the rented inventory?

Your lease agreement must include a detailed inventory list as an appendix: each item described individually with make, type, serial number or identifier, and its condition at the start of the lease — preferably supported by photographs. For complex equipment, the technical specifications must also be included. The inventory list is signed by both parties at the start as proof of the condition upon delivery. How do you arrange liability for damage to and loss of rented inventory?
The tenant is responsible for the careful safekeeping and use of the leased inventory. Your lease agreement must specify how the distinction between normal wear and tear and unauthorized damage is established — the handover report at the start of the tenancy is essential for this — and what compensation the tenant owes in the event of damage or loss.
