If you close your webshop, arrange more than just shutting down the site. You must settle outstanding orders and warranties, terminate contracts, handle customer data in accordance with the GDPR, and deregister with the Chamber of Commerce. If you wish to sell, a transfer of ownership is added to this process.

Settle outstanding obligations

Closing a webshop does not mean your obligations cease. Deliver outstanding orders, process returns and cancellations, and remain available for any warranty and conformity claims that may still come in. Clearly communicate to customers that you are closing and how they can still reach you.

Cancel your contracts

You often have various contracts: hosting, payment services, suppliers, a marketplace account, and subscriptions. Cancel these on time and correctly, observing notice periods and automatic renewals. This prevents you from continuing to pay for services you no longer use.

Handle customer data with care (GDPR)

You may not retain personal data longer than necessary. Delete customer data that you are no longer permitted to retain, with the exception of what you are legally required to keep (such as your records). If you sell your customer database along with the data, separate GDPR rules apply, and you must arrange this properly.

Stop or sell?

You can cease operations of the business, but you can also sell it. Upon sale, you transfer the assets (such as the domain name, inventory, customer base, and trade name) or the shares, with agreements regarding warranties and liability. Finally, do not forget to deregister your business with the Chamber of Commerce and finalize your tax obligations (VAT).

Frequently Asked Questions

Can I just turn off my webshop?

No. You must process pending orders, returns, and warranties, terminate contracts, handle customer data in compliance with the GDPR, and deregister with the Chamber of Commerce.

Am I allowed to sell my customer base along with it?

Only within the GDPR rules. The transfer of personal data requires a legal basis and due care; handle this properly.

What is the difference between stopping and selling?

Upon termination, you wind everything up; upon sale, you transfer assets or shares, with agreements regarding warranties and liability.
