An exchange agreement (or barter agreement) is a contract in which two parties exchange goods or services without using money. It can be useful if both parties have something valuable to offer, but it requires clear agreements regarding value, quality, and liability — and pay attention to VAT.

What is a barter agreement?

In a barter agreement, parties agree to exchange goods or services instead of paying with money. Instead of money, something else serves as the medium of exchange — this can even be a cryptocurrency, since it is not an official means of payment. Bartering is useful when both parties have something the other wants, without the need for money to change hands.

Determine the value correctly

The biggest pitfall is the valuation. What one party delivers must be in proportion to what the other gives. Establish the value of both contributions and ensure that the exchange is balanced for both parties. Lack of clarity on this matter leads to disputes afterwards about who was left short of what.

Quality, delivery and liability

Requirements regarding what is delivered also apply to exchanges: it must comply with what was agreed upon (conformity). Regulate the quality, delivery times, and what happens if one of the performances is defective or late. Just as with a purchase, you can make agreements regarding warranty and liability.

Don't forget VAT and taxation

No money does not mean no tax: VAT may also be due on barter, calculated on the value of the services, and there may be tax implications. Calculate this in advance and keep your records in order. A good barter agreement and correct tax handling prevent problems.
