Not every entrepreneur knows exactly what warranty conditions are, when they are needed, and which risks they must cover. That is why we explain below what this document entails, what to look out for, and why customized legal solutions are important.

What are the warranty conditions?
Warranty conditions are the standard terms used by a supplier, manufacturer, or service provider to describe the commercial warranty offered on their products or services. They establish the duration of the warranty, what is covered by the warranty, how a complaint must be submitted, how the warranty is fulfilled—repair, replacement, or refund—and which exclusions apply. Warranty conditions exist alongside statutory conformity law: consumers are always entitled to a product that meets reasonable expectations, regardless of the commercial warranty. Warranty conditions may supplement these statutory rights but may not restrict them. What is the difference between a commercial warranty and the statutory right of conformity?
This distinction is legally fundamental and is not well understood by many entrepreneurs. The statutory right of conformity under Article 7:17 of the Dutch Civil Code grants consumers the right to a product that meets the expectations the buyer could reasonably have—based on the description, the price, the seller's statements, and the normal characteristics of the product. This right applies for two years after delivery and cannot be contractually restricted with respect to consumers. A commercial guarantee is a voluntary commitment by the manufacturer or seller that goes beyond or deviates from the statutory right of conformity: a longer warranty period, a broader scope, or simpler claim rights. The commercial guarantee does not render the statutory right of conformity superfluous and may not replace it in the consumer's perception. Which exclusions are permitted in warranty conditions?
Warranty conditions typically contain a series of exclusions — cases where the warranty does not apply. Permitted exclusions under a commercial warranty are: damage resulting from improper use or use contrary to the instructions for use, normal wear and tear, damage resulting from unauthorized modifications or repairs by third parties, and damage resulting from external causes such as accidents or environmental influences outside the specifications. Prohibited exclusions for consumers are: the exclusion of liability for damage resulting from intent or gross negligence on the part of the warrantor, the exclusion of statutory conformity laws, and exclusions that render warranty rights entirely illusory. How do you handle the warranty procedure and remedies?
The warranty procedure in your warranty terms determines how a customer submits a warranty claim and how you handle it. The procedure must inform the customer about the method of reporting, the required supporting documents — proof of purchase, description of the defect, photos — and the time limit within which you must respond. The remedies in the event of a successful warranty claim are typically repair or replacement as primary options, and a refund as a subsidiary option if repair or replacement is not possible. For consumers, the statutory order of priority applies: the consumer is primarily entitled to repair or replacement and only secondarily to a price reduction or rescission. Your warranty terms may not reverse this order of priority for consumers. Business customers enjoy greater contractual freedom.
