Custom choices

Which choices determine the content?

The following choices determine which components you include and how strictly you formulate them.

Choice or question Why this matters legally
What do you offer: an informative website or an interactive service? For an interactive service (accounts, uploads, transactions), more and stricter regulations are required than for a purely informative site.
Can users post or upload content? If so, rules regarding permitted content, a license for that content, and a reporting and removal procedure are required.
Do you target consumers or business users? Mandatory protection rules apply to consumers, rendering some exclusions untenable.
Do you process personal data? In that case, you must refer to a privacy statement and align the processing with the GDPR.
Do you offer paid features or subscriptions? In that case, provisions regarding prices, payment, term, and termination should also be included, or there should be a supplementary agreement.
Clauses and provisions

Which elements belong in terms of use?

The components below together form a complete set of terms of use. Which components are given more weight depends on the type of service you offer.

Provision Relevant to Legal point of attention
Applicability and acceptance Always Describes to which website or service the terms apply and how the user agrees.
Permitted and prohibited use Always Provides the rules of the game: what the user is and isn't allowed to do (for example, scraping, hacking, reselling).
Intellectual property With own content or software Stipulates that texts, images, logo, and code remain your property and may not be used without permission.
Liability and disclaimers Always Limits your liability for damage, errors in information, and service outages.
Availability and changes For online services Makes it clear that you may modify, interrupt, or terminate the service.
User accounts and behavior When registering or posting content Manages account management, confidentiality of login credentials, and consequences of misuse.
Privacy and data Always Refers to your privacy statement and the processing of personal data.
Applicable law and disputes Always Determines that Dutch law applies and which court has jurisdiction.
Use in practice

How do you use this document correctly?

Terms of Use are only effective if they are findable and if the user has demonstrably been able to take notice of them.

Situation What should you do? Point of attention
Upon the launch of the site or service Place the terms and conditions on a fixed, searchable page and link to them in the footer. Only known conditions can be used against the user.
Upon registration or order Have the user actively agree, for example with a checkbox. Demonstrable acceptance reinforces that the conditions apply.
In the event of a change to the terms and conditions Inform users and state the effective date and version. Silent change is vulnerable; transparency prevents discussion.
In the event of a dispute or abuse Refer to the applicable version and retain the proof of acceptance. This is how you substantiate your position if a conflict arises.
Common mistakes

Common mistakes

These errors often cause terms of use to function poorly or only partially in practice.

Wrong Consequence Better approach
Blindly copying terms and conditions from another site The terms and conditions do not suit your service and contain gaps or inaccuracies. Draft tailored terms and conditions that align with what you actually offer.
Display terms and conditions in a way that is difficult or impossible to find You cannot rely on this because the user was unaware of them. Always make them accessible and, where possible, obtain active consent.
Want to completely exclude liability towards consumers An exclusion that is too broad is voidable and offers no protection. Keep exclusions reasonable and tailor them to the type of user.
No regulations for user-posted content No control over unlawful content and no reporting and removal procedure. Include rules regarding content, a license, and a notice-and-takedown.
Privacy and data processing forgotten Violation of the GDPR and risk of complaints or fines. Refer to a current privacy statement and arrange the processing correctly.
Risk profile

What is your situation and what do you pay attention to?

Depending on your situation, the points of attention are slightly different. Do you recognize your case below?

Risk profile Example Focus in the document
Informative company website You display information and a contact form, without accounts or transactions. Emphasize disclaimers, intellectual property, and liability for the accuracy of information.
Webshop or paid service Users order or pay via your platform. Combine the terms of use with general terms and conditions regarding prices, delivery, and payment.
Platform with user content Users post text, photos, or comments. Regulation on permitted content, a license for that content, and a reporting and removal procedure.
Online service for business customers You provide a tool or service to enterprises. Coordinate liability, availability, and data processing; consider a separate agreement.
Additional documents

When is this document not enough?

Terms of Use govern the rules of your service, but do not cover every situation. You require additional documents in the following cases.

Situation Supplementary document Why
Situation Related document Explanation
You have another party process personal data for you Data Processing Agreement For processing by third parties, the GDPR requires separate, written agreements.
You share confidential information with a partner or supplier Confidentiality Agreement You do not regulate confidentiality via terms of use, but in a separate agreement.
You work structurally with another company Cooperation Agreement Mutual agreements between parties belong in a cooperation agreement, not in terms of use.
Explanation of this document

Drafting terms of use, why?

Not every entrepreneur knows exactly what terms of use are, when they are needed, and which risks they must cover. That is why we explain below what this document entails, what to look out for, and why customized legal solutions are important.

What are terms of use?
Terms of Use — also known as terms of use, terms of service, or terms and conditions — are the rules established by a website owner, app provider, or platform operator for the use of their service. They are the overarching document that sets out the rules of the game for all users: what constitutes permitted use, what constitutes prohibited use, what rights and responsibilities the provider has, how accounts are created and terminated, how disputes are resolved, and which law applies. The Terms of Use are distinct from the Privacy Statement — which governs the processing of personal data — and the Cookie Statement. Together, the three documents form the legal basis of a compliant online presence. Our lawyers draft Terms of Use for your website or platform that are legally binding, effectively limit liability, comply with the Digital Services Act, and are consistent with your Privacy Statement and Cookie Statement.
What components must terms of use contain as a minimum?
Complete terms of use contain at least the following components: The identity of the provider: name, address, Chamber of Commerce number, contact details. The description of the service: what does the website or platform offer? Permitted and prohibited use: what may the user do, what may not, and what are the consequences of violation? The intellectual property section: all rights to the content of the website belong to the provider, unless stated otherwise. The limitation of liability: the provider is not liable for damages resulting from the use of the service, within legal limits. The termination policy: how and when can accounts be suspended or deleted? The amendment clause: the provider reserves the right to amend the terms of use, with notification to users. And the choice of applicable law and forum. Our lawyers draft terms of use that correctly integrate all mandatory elements.
How do your terms of use comply with the Digital Services Act?
The Digital Services Act (DSA) — effective in the EU as of 2024 — imposes additional requirements on platforms and web services that offer intermediary services. The most relevant DSA obligations for terms of use are: transparent and understandable information regarding the restrictions the provider imposes on the use of the service, an accessible complaints procedure for decisions concerning accounts or content, and the obligation to clearly communicate the use of recommendation algorithms. Additional obligations apply to large platforms. Your terms of use must integrate the DSA requirements in a way that is understandable to your users. Our lawyers ensure terms of use that are DSA-compliant for your type of service.
How does it work at MKBjuristen?
After a brief analysis of your website or platform, our lawyers draft terms of use that are legally binding, effectively limit liability, comply with the DSA, and are consistent with your privacy and cookie statements. We provide a cohesive package of three documents that makes your online presence legally compliant.
Are you unsure whether your document is legally correct? We would be happy to assess the sensible course of action: drafting, reviewing, or amending.

Why not use a standard document?

A standard document often seems like a quick solution, but usually does not fully align with your company, agreements, risks, and way of working. Our legal experts draft documents that fit your situation.

Standard document
SME Lawyers
Not tailored to your business
Tailored to your company, industry, and working methods
No control over your specific situation
Consultation with a lawyer and assessment of your risks
Possibly outdated or incomplete
Verification of current and practical provisions
No personal explanation
Explanation regarding the use of the document

A standard document seems cheap, until it doesn't fit your situation properly. That is why we provide custom legal solutions tailored to your business.

Customization per digital service

Not every online service has the same usage risks. Therefore, we do not create generic terms of use, but tailor them to accounts, content, payment, data, and platform role.

Website

Attention to content, IP, liability, links, complaints, and the use of information.

App

Attention to accounts, updates, stores, data usage, prohibited use, and termination.

SaaS

Attention to licensing, users, availability, support, data, security, and payment.

Marketplace

Attention to platform role, users, transactions, complaints, reviews, and liability.

Community

Attention to behavior, moderation, user-generated content, blocking, and reporting procedure.

Member portal

Attention to access, accounts, documents, payment, privacy, and termination.

Terms of Use must make your digital service manageable and enforceable. Therefore, we look at accounts, permitted use, prohibited use, content, IP, payment, privacy, suspension, termination, and liability.

Common mistakes in terms of use

Things often go wrong with terms of use because online services grow without clear legal rules for users.

  • Do not use an active consent form during registration or checkout
  • Prohibited use, scraping, spam, and abuse are insufficiently regulated
  • Do not include moderation, removal, or blocking rights
  • Do not legally define user-generated content, reviews, and uploads
  • Forgotten intellectual property and usage rights on platform content
  • Unclear handling of subscriptions, renewal, payment, and cancellation
  • Confusing privacy, cookies, and the processor role with terms of use
  • Leaving liability for user content, malfunctions, or data loss too broad

Draft your terms of use carefully and prevent unnecessary problems in the future. Clear agreements prevent disputes regarding accounts, usage, content, payment, privacy, blocking, and liability.

What are terms of use?

Terms and conditions stating how users may use a website, app, platform, software, or digital service.

Are terms of use mandatory?

Not always, but they are highly recommended as soon as users use accounts, content, payments, or platform functions.

How do I make terms of use applicable?

Preferably through active acceptance, for example via a checkbox during registration or checkout.

Are terms of use the same as privacy terms?

No. Terms of use govern use; a privacy statement provides information about the processing of personal data.

Can MKB Juristen review existing terms of use?

Yes. We check, among other things, accounts, prohibited use, content, IP, payment, privacy, suspension, termination, and liability.
