Drafting a Data Processing Agreement for a software company, why?

Not every entrepreneur knows exactly what a software company data processing agreement is, when you need one, and which risks they must cover. Therefore, we explain below what this document entails, what you should look out for, and why legal customization is important.

Why does a software company need its own data processing agreement?
A software company that supplies software through which customers enter and process personal data — a CRM system, an HR platform, an accounting package, a customer portal — acts as a processor within the meaning of the GDPR: it processes personal data on behalf of and for the benefit of the customer as the controller. Article 28(3) of the GDPR requires the controller and the processor to contractually establish their relationship in a data processing agreement. As a software company, you are asked by your customers to sign a data processing agreement — or you offer one yourself as part of your SaaS or software package. Your own well-drafted data processing agreement protects you as a software company against data breaches, GDPR inspections, and liability claims from customers. How do you regulate the sub-processors — your cloud infrastructure — in the processor agreement?
As a software company, you use cloud infrastructure — AWS, Azure, Google Cloud — and other sub-processors that actually host your customers' personal data. Under Article 28(2) of the GDPR, you may only engage sub-processors with your customers' prior written consent — either specific or generic. The most practical approach for software companies is generic consent: your data processing agreement lists the current sub-processors in an appendix and informs customers of any changes, with a thirty-day objection period. Your data processing agreement must also address transfers outside the EEA if your cloud infrastructure stores data outside the EU — standard contractual clauses (SCCs) or the EU-US Data Privacy Framework. How do you limit your liability as a processor in the event of a data breach?

Your data processing agreement with customers must explicitly address liability for data breaches: in the event of a data breach resulting from an error in your software or your security measures, you are liable up to a specified maximum; in the event of a data breach resulting from improper use by the customer, the customer is liable and indemnifies you.
