Custom choices

Which choices determine the content?

A number of choices determine how strict or customer-friendly your terms and conditions turn out. Make these choices consciously, as they directly affect your risk and your commercial position.

Choice or question Why this matters legally
Do you offer a guaranteed service level (SLA)? A strict uptime guarantee with penalties is attractive to customers, but increases your risk; a best-efforts obligation is safer.
How much liability do you want to bear? The lower you limit liability, the less risk you run, but major clients often negotiate this.
Do you process personal data on behalf of the customer? If so, a separate data processing agreement is mandatory in addition to these terms and conditions, and you must specifically arrange for security.
Do you target business customers or consumers? For consumers, mandatory rules apply and some of your exclusions are not legally valid; B2B offers more contractual freedom.
Do you want to be able to make unilateral changes? A modification clause offers flexibility, but must be reasonable and provide for a right to information and, where applicable, termination for the customer.
Clauses and provisions

Which elements belong in a SaaS terms of use?

Good SaaS terms of use cover the right of use, the service provision, and the legal preconditions. The components below together form a balanced and enforceable document.

Provision Relevant to Legal point of attention
Right of use and license With every SaaS service Describes that the customer acquires a non-exclusive, non-transferable right to use the service and not ownership of the software.
Service level and availability If you promise uptime or support Specifies the availability (e.g., 99.5%) and response times you offer, and the consequences of falling short.
Compensation and payment Always Determines the price, payment term, indexation, and the consequences of late payment, such as suspension of access.
Liability and indemnification Always Limit your liability (for example, to the annual fee) and exclude consequential damages as much as possible.
Data processing and privacy When processing personal data Refers to a data processing agreement and regulates the security and handling of customer data in accordance with the GDPR.
Intellectual property Always Confirms that all rights to the software and updates remain with you and that customer data remains the property of the customer.
Duration, termination and exit Always Regulates the term, renewal, notice period, and return or deletion of data after termination.
Maintenance and changes In further development Grants you the right to maintain, update, and implement reasonable changes to the service, with a duty to inform in advance.
Use in practice

How do you use this document correctly?

The document is only effective if the customer has demonstrably accepted the terms and conditions and if the content aligns with your actual service.

Situation What should you do? Point of attention
Before concluding the agreement Have the customer actively accept the terms and conditions (check mark or signature) and provide them in advance. Unaccepted terms and conditions, or those shown only later, are voidable and offer you no protection.
Upon commissioning Align the promised availability and support with what you can actually deliver technically. Promises that you fail to keep lead to breach of contract and claims for damages.
When processing customer data Simultaneously conclude a data processing agreement and establish security measures. Without a data processing agreement, you are acting in violation of the GDPR and risk fines.
In case of change or cancellation Follow your own deadlines and inform the customer in writing and in a timely manner. Deviating from your own terms and conditions undermines enforceability and may make you liable for damages.
Common mistakes

Common mistakes

With SaaS terms of use, things often go wrong regarding acceptance, liability, and data. The errors listed below are the most common in practice.

Wrong Consequence Better approach
Failure to provide conditions The customer can invalidate the terms and conditions, causing your exclusions to drop. Show and have it accepted before or at the conclusion of the agreement and retain the proof.
Arrange for no or unlimited liability You may bear full consequential damages in the event of a malfunction or data breach. Limit liability in amount and exclude indirect damages, to the extent permitted.
Guaranteeing uptime that you do not achieve You commit a breach of contract and become liable for damages or a fine. Promise a realistic service level or a best-efforts obligation with clear exceptions.
Do not enter into a data processing agreement You are violating the GDPR and risk enforcement and fines. Add a data processing agreement by default as soon as you process personal data.
Do not arrange exit and data return Discussion and disputes regarding the return or deletion of customer data after termination. Specify how and within what timeframe data is returned or deleted.
Risk profile

What is your situation and what do you pay attention to?

The correct implementation depends on your type of service and client. Recognize your situation and pay attention to the corresponding point of attention.

Risk profile Example Focus in the document
Start-up SaaS provider You are launching a new service and want to onboard customers quickly. Keep the terms simple, but properly arrange acceptance and liability from day one.
Processing of sensitive data Your service processes personal or business-sensitive data. Establish security measures and a data processing agreement, and be strict on data breach procedures.
Large business customers Your customers demand an SLA and negotiate terms. Prepare for adjustments regarding uptime, liability, and exit, and determine your limits in advance.
International customers You deliver outside the Netherlands. Pay attention to choice of law, choice of forum, and any transfer of data outside the EU.
Additional documents

When is this document not enough?

SaaS Terms of Use govern the use of the service but do not cover all situations. You will need additional documents in the following cases.

Situation Supplementary document Why
You process personal data of your customer Data Processing Agreement Required under the GDPR to arrange the processing of personal data on behalf of your client.
You share confidential information during implementation Confidentiality Agreement Protects confidential data exchanged by you or the customer, separate from the right of use.
You build the software together with a partner Cooperation Agreement Regulates division of roles, ownership, and revenues in the joint development of the service.
Explanation of this document

Drafting SaaS Terms of Use, why?

Not every entrepreneur knows exactly what SaaS terms of use are, when they are needed, and which risks they must cover. Therefore, we explain below what this document entails, what to look out for, and why customized legal frameworks are important.

What are SaaS terms of use?
SaaS Terms of Use are the conditions that establish the rules for using a Software as a Service application — cloud-based software accessible via the internet by subscription. They combine the elements of a user license, an acceptable use policy, and a service agreement into a single document that users typically accept by logging in or clicking "Agree". SaaS Terms of Use differ from traditional software licenses in that the software is not installed but hosted by the SaaS provider, and because the provider is responsible for the availability, security, and updates of the software. Our lawyers draft SaaS Terms of Use for you that clearly formulate the acceptable use policy, correctly establish availability agreements, protect the customer's data rights, and effectively limit liability in the event of malfunctions.
How do you manage acceptable use and moderation rights?
The acceptable use policy in SaaS terms of use describes which use of the application is permitted and which is prohibited. Typical prohibitions include: use for illegal purposes, use that overloads the SaaS provider's infrastructure, uploading malware or infringing content, and using the application to harm third parties. The SaaS provider must have the right to block or terminate accounts upon violation of the acceptable use policy — without liability for damages suffered by the user as a result, provided the blocking was justified. The Digital Services Act (DSA) requires platforms with user-generated functionalities to have transparent moderation rules and a complaints procedure. Our lawyers draft an acceptable use policy that is also legally defensible for consumer users.
How do you manage customer data rights for SaaS?
With SaaS services, the provider processes the data that the customer enters into the system — customer data. The GDPR requires the SaaS provider, as a processor, to enter into a data processing agreement with the customer, as the controller. Your SaaS terms of use must explicitly set out the customer's data rights: the customer remains the owner of their data, the SaaS provider may use that data exclusively for the agreed purposes, and upon termination of the subscription, the customer is entitled to export their data in a structured format — data porting pursuant to the GDPR and the Data Act. Our lawyers ensure SaaS terms of use that correctly integrate GDPR obligations and transparently set out the customer's data rights.
How does it work at MKBjuristen?
After a brief intake, our lawyers draft SaaS terms of use that clearly formulate the acceptable use policy, correctly establish the availability agreements, protect the client's data rights, and effectively limit liability in the event of malfunctions.
Are you unsure whether your document is legally correct? We would be happy to assess the sensible course of action: drafting, reviewing, or amending.

Why not use a standard document?

A standard document often seems like a quick solution, but usually does not fully align with your company, agreements, risks, and way of working. Our legal experts draft documents that fit your situation.

Standard document
SME Lawyers
Not tailored to your business
Tailored to your company, industry, and working methods
No control over your specific situation
Consultation with a lawyer and assessment of your risks
Possibly outdated or incomplete
Verification of current and practical provisions
No personal explanation

A standard document seems cheap, until it doesn't fit your situation properly. That is why we provide custom legal solutions tailored to your business.

A legal document only has value if it suits your practice. That is why we look not only at the text, but also at how you use the document in your business.

Common mistakes with legal documents

A legal document often seems simple, but small errors can have major consequences later on. In practice, we see that entrepreneurs run the greatest risk when a document does not align well with their business, agreements, or way of working.

  • Using a standard document that does not suit the company
  • Forgot important agreements regarding payment, delivery, liability, or termination
  • Have a document generated without legal review
  • Continuing to use old documents while the company has changed
  • Not knowing how the document should be used correctly in practice

A legal document only prevents problems if it suits your situation. That is why we look not only at the text, but also at your company, agreements, and risks.

Why is a standard document often not enough?

Because a standard document does not take into account your industry, customers, risks, and specific agreements, important provisions may be missing or not align well with your practice.

Can I create a legal document myself using AI?

AI can assist in creating text, but does not independently assess whether the document is legally appropriate, complete, and usable for your business. Legal review therefore remains important.

When do I need to have my document checked?

Have your document checked if your business has changed, you have new customers or services, you have doubts about existing agreements, or the document has not been updated for a long time.

Will I also receive an explanation about the use of the document?

Yes. We explain how to use the document in practice, what to look out for, and which steps are important to prevent disputes afterwards.
