Which choices determine the content?

A rental agreement is not a standard document. A few fundamental choices determine which legal rules apply and how much room you have to deviate.

What do you rent out? Residential premises, commercial premises for small and medium-sized enterprises (shops or hospitality establishments), and other commercial premises (offices or storage) fall under different statutory regimes with their own protection rules.
Fixed-term or indefinite term? The duration determines the termination options and the level of tenant protection. Fixed terms often apply to commercial premises.
Including or excluding VAT? In the case of business premises, it is possible to lease subject to VAT if the tenant performs sufficient VAT-taxable services; this affects the price agreements.
Who is responsible for which maintenance? The statutory division can be partially adjusted contractually; clearly define what is the responsibility of the tenant and what is the responsibility of the landlord.
What assurance do you want? A security deposit, bank guarantee, or group guarantee limits the risk of default and determines the negotiating position.
Clauses and provisions

Which elements belong in a rental agreement?

A full rental agreement describes the rented property, the price, and the rules governing the relationship between landlord and tenant. The components below form the basis. Exactly which ones you need depends on the type of space and your situation.

How do you use this document correctly?

A rental agreement is only valid if it matches the actual situation and is correctly signed and kept. Follow these steps.

Explanation of this document

Drafting a rental agreement, why?

Not every entrepreneur knows exactly what a lease agreement is, when you need one, and which risks they must cover. That is why we explain below what this document entails, what you should look out for, and why customized legal solutions are important.

What is a rental agreement?
A lease agreement is the agreement whereby the landlord grants the tenant the use of a property, and the tenant pays consideration for it. Tenancy law is regulated in Title 7.4 of the Dutch Civil Code (BW) and comprises three major categories, each with its own statutory regime: lease of residential property; lease of commercial property within the meaning of Article 7:290 BW — retail space and hospitality — and lease of other commercial and office space within the meaning of Article 7:230a BW. The category determines which protective provisions apply to the tenant and the degree of freedom the parties have when drafting the lease agreement. For residential property and 7:290 commercial property, extensive mandatory legal provisions apply to tenant protection. For 7:230a property, protection is more limited. Our lawyers draft lease agreements for landlords and tenants that align with the correct statutory regime, correctly apply the ROZ models, and legally and watertight establish specific agreements regarding rent, indexation, maintenance, and handover.
How do you determine which tenancy law regime applies?
The classification of the leased property is decisive for the statutory protection of the tenant and may not be circumvented by an incorrect label on the agreement. Residential space: an independent or non-independent dwelling intended for permanent habitation always falls under residential tenancy law, regardless of how the parties name the agreement. 290-business premises: space intended for the operation of a retail business, hospitality business, or a craft business for the public — shop, restaurant, café, craft workshop — falls under Article 7:290 of the Dutch Civil Code with extensive tenancy protection, including rent review and lease extension. 230a-business premises: office space, storage space, practice space, factories, and other non-public business premises fall under the less protective regime of Article 7:230a of the Dutch Civil Code. When classifying, the court looks at the actual use, not at the label in the agreement. Our lawyers assess the correct classification for your specific rental property.
How does the ROZ model agreement work and which version is current?
The Dutch Real Estate Council (ROZ) has drafted standard lease agreements for various categories of commercial premises that are widely used in real estate practice. As of March 5, 2025, the ROZ has adopted new models for both 7:230a space (office space) and 7:290 space (retail space), filed in June 2025. The use of the most recent ROZ models — version 2025 — is important because older models are not aligned with current legislation and case law. The ROZ models contain a standard lease agreement with fields for specific agreements, and accompanying General Provisions that are declared applicable as an appendix. Deviations from the standard provision must be included in the special provisions using a different font. Based on the most recent ROZ models, our lawyers draft a lease contract tailored to your specific situation.
How do you arrange rent indexation and revision?
Rent indexation is an essential instrument for landlords to preserve the fair value of rental income. The most commonly used method is annual indexation based on the CBS consumer price index. Your lease agreement must specify the indexation formula: which index figure is used, with which reference date, and what is the maximum annual indexation percentage? For business premises under Section 7:290, tenants have the right to request a rent adjustment every five years based on the average rents of comparable business premises — the so-called further rent determination. This right cannot be contractually excluded. For premises under Section 7:230a, there is more freedom, but a clear indexation clause is equally important for the long-term value of the property.
