Not every entrepreneur knows exactly what recruitment agreements are, when they are needed, and which risks they must cover. That is why we explain below what this document entails, what to look out for, and why legal customization is important.

What is a recruitment agreement?
A recruitment agreement — also known as a recruitment and selection agreement or headhunter contract — is the agreement in which a recruitment agency commits to recruiting candidates and presenting them to a client seeking personnel. The recruitment agreement establishes the fee structure, exclusivity agreements, the guarantee period in the event of the placed candidate's early departure, and the procedure for the direct appointment of a candidate proposed by the agency, bypassing the agency. Recruitment differs from secondment: the agency handles the recruitment and selection, but the candidate enters into employment with the client — not the agency. How do you arrange the commission fee and the no cure no pay agreement?
Recruitment commission is typically a percentage of the placed candidate's gross annual salary — usually between fifteen and twenty-five percent. In no cure no pay recruitment , the commission is only due if the candidate actually enters employment with the client. Your recruitment agreement must accurately define the commission fee: at what point is the commission due — upon acceptance of the offer by the candidate, upon commencement of employment, or at the end of the probationary period? How is the gross annual salary calculated if the candidate receives bonuses, a lease, or other emoluments? Our lawyers draft a commission clause that is watertight, even in borderline cases.
How do you protect your commission when placing a placement directly outside the agency?
The most common form of abuse in recruitment is the situation where the client directly approaches a candidate introduced by the agency and hires them without paying the commission. Your recruitment agreement must contain a follow-up clause : if the client hires a candidate introduced by the agency—in any manner whatsoever—within a period of twelve to twenty-four months following the introduction, the full commission is due. Combine this with an introduction registration: the agency confirms every candidate introduction to the client in writing, stating the name and date, so that the introduction is verifiable in the event of a subsequent direct hiring. Our lawyers draft a follow-up clause that is also enforceable in the case of indirect placement.
