Drafting a payment reminder, why?

Not every entrepreneur knows exactly what payment reminders are, when they are needed, and which risks they must cover. That is why we explain below what this document entails, what to look out for, and why customized legal advice is important.

What is a payment reminder and when do you send one?
A payment reminder is the first written step in the debt collection process: a friendly but formal demand to a debtor to pay an outstanding invoice. While a payment reminder is not legally required—a debtor who fails to pay an invoice on time is in default by operation of law if the invoice specifies a payment term and that term has expired—in practice, it is essential for maintaining the client relationship and as proof of your collection efforts. Many debtors respond to a payment reminder because they have forgotten the invoice, made an administrative error, or are temporarily experiencing payment difficulties. A correctly drafted payment reminder is also the first link in the chain leading to the statutory demand under Article 6:96 of the Dutch Civil Code, upon which extrajudicial collection costs are based. What is the legal difference between a payment reminder and a demand letter?
This distinction is of great legal importance for your entitlement to extrajudicial collection costs. A payment reminder is a friendly reminder without explicit legal consequences. A demand letter within the meaning of Article 6:96 paragraph 6 of the Dutch Civil Code is the legally prescribed letter stating that the debtor has fourteen days to pay, after which extrajudicial collection costs (BIK) are due. For consumers, a strictly prescribed text applies: the demand letter must inform the debtor of the amount, the fourteen-day period, and the consequences of non-payment. If the demand letter does not meet the statutory requirements, you are not entitled to the BIK. For business debtors, the rules are less strict, but the BIK is also only due if the debtor is in default and you have incurred collection costs. What information must a payment reminder contain?
An effective payment reminder contains at least the following elements: A clear reference to the outstanding invoice with the invoice number, the invoice date, and the outstanding amount. The original payment term and the date on which it expired. A friendly but clear request to pay the amount within a period to be specified. The account number and payment details. For statutory reminders for consumers: explicit mention of the fourteen-day period, the amount of collection costs due in the event of late payment, and notification that further steps will be taken in the event of non-payment. For business debtors: a reference to your general terms and conditions, the applicable interest pursuant to Article 6:119 of the Dutch Civil Code (consumers) or Article 6:119a of the Dutch Civil Code (commercial interest), and the amount due after the reminder period, including interest and costs. How do you calculate extrajudicial collection costs for consumers and business debtors?
costs (BIK) are the costs that a creditor may charge for efforts to collect a debt out of court. For consumers , the BIK are statutory capped pursuant to the Decree on Compensation for Extrajudicial Collection Costs: 15% on the first €2,500, 10% on the next €2,500, 5% on the next €5,000, and 1% on the next €190,000, with a minimum of €40 and a maximum of €6,775. These rates also apply to agreements with sole proprietorships and small business debtors if they are comparable to consumers. For business debtors, higher BIK may be agreed upon in the general terms and conditions, but these must be reasonable in proportion to the collection efforts. Your payment reminder must state the correct BIK amount to establish your entitlement to it. How do you send a payment reminder that preserves the customer relationship?
For companies wishing to maintain long-term customer relationships, the tone of the payment reminder is just as important as the legal content. An overly aggressive first reminder can alienate a customer who has simply forgotten to pay. A reminder that is too mild, without clear consequences, is ignored by bad payers. Experience shows that an effective series of reminders consists of three steps: a first friendly reminder without immediate legal consequences, a second reminder mentioning the fourteen-day period and the BIK notification, and a third letter announcing legal action or transfer to a collection agency. When should you hire a lawyer for debt collection?
In many cases, you can send a payment reminder and demand letter yourself. Engaging a lawyer is advisable in the following situations: the debtor disputes the substance of the claim and a substantial amount is involved; the debtor is a BV showing signs of insolvency and you wish to obtain security or a provisional attachment; the claim is approaching the statute of limitations and interruption is required; the debtor is established abroad and you wish to initiate international debt collection proceedings; or you wish to issue a summons and obtain an enforceable title.
