Drafting an office space lease agreement, why?

Not every entrepreneur knows exactly what office space lease agreements are, when they are needed, and which risks they must cover. That is why we explain below what this document entails, what to look out for, and why customized legal solutions are important.

What is an office space lease agreement?
A lease agreement for office space is the agreement whereby a landlord makes office space available to a tenant for the conduct of their office activities. Under Dutch tenancy law, office space falls under the regime of Article 7:230a of the — the category of other business premises — and not under the stronger protection regime of Article 7:290 of the Dutch Civil Code that applies to retail space and the hospitality industry. This means that tenants and landlords of office space have significantly more contractual freedom than with 7:290 space. On March 5, 2025, the ROZ adopted a new model for office space and other business premises within the meaning of Article 7:230a of the Dutch Civil Code, filed in June 2025 — the most current model for office leases in the Netherlands. Which protection regime applies to office space and what does that mean in practice?
Office space falls under Article 7:230a of the Dutch Civil Code — the lightest tenancy regime for commercial premises. The tenant of office space enjoys significantly less statutory protection than the tenant of retail or hospitality space. There is no mandatory minimum tenancy period of five years, no right to extension, no right to further rent determination by the court, and more limited eviction protection. At the end of a 7:230a lease agreement, the tenant does have a right under Article 7:230a of the Civil Code to an eviction period of two months following the termination of the lease agreement, which right can be extended up to three times by the court to a maximum of one year. This right cannot be contractually excluded. In practice, this means that landlords of office space have more freedom in determining the lease period, notice periods, and rent adjustments. How do you apply the ROZ Model 2025 for office space?
The ROZ Office Space Model 2025 — adopted on March 5, 2025, and filed in June 2025 — is the industry standard for office lease agreements in the Netherlands. The model consists of a lease agreement with spaces for specific agreements and accompanying General Provisions. Using the most recent model is important because older versions are not aligned with the latest legislation and case law. Deviations from the standard provision must be included in the Special Provisions of the model in a different font — if the model itself is modified, it loses its designation as an ROZ model. Particular points of attention regarding office space are service charges — the tenant's contribution to the costs of common facilities — and energy performance obligations — landlords of office buildings with an energy label C or lower are required to improve sustainability. Based on the ROZ Model 2025, our lawyers draft a lease agreement that is fully tailored to your situation.
How do you arrange service charges and sustainability obligations in the office lease agreement?
Service charges are the costs passed on by the landlord to the tenant for common facilities — cleaning of common areas, security, elevators, and heating and cooling of common areas. The ROZ models contain a standard arrangement for service charges, but the specific implementation must be tailored to each property. The landlord is obliged to provide an annual service charge statement, substantiated by a specification of the costs incurred. For office buildings, the sustainability obligation a current point of attention: as of 2023, a minimum energy label C requirement applies to office buildings exceeding 100 m². If this obligation is not met, the office building may, in principle, no longer be leased as office space. Your lease agreement must specify who bears the costs of the required sustainability measures. Our lawyers advise you on the sustainability obligation and the contractual allocation of costs.
