Not every entrepreneur knows exactly what a freelance mediation agreement is, when you need them, and which risks they must cover. That is why we explain below what this document entails, what you should look out for, and why customized legal solutions are important.

What is a mediation agreement for freelancers?
A mediation agreement for self-employed professionals is the agreement between a mediation agency and a self-employed professional, whereby the agency undertakes to find assignments with clients for the self-employed professional in exchange for a mediation fee or a margin on the hourly rate. The mediation agreement regulates the legal relationship between the agency and the self-employed professional — not the legal relationship between the self-employed professional and the end client. The agency acts as an intermediary: it finds the assignment, handles the commercial agreements with the client, and transfers the assignment to the self-employed professional. Legally, the mediation agreement is a contract for services with the agency and must be distinguished from a secondment relationship in which the agency is the formal employer. How do you arrange the brokerage fee and the margin structure?
The mediation fee can be structured in two ways. Under a margin model , the agency invoices the client a higher hourly rate than it passes on to the freelancer — the difference is the agency's margin. Under a commission model , the agency receives a percentage of the amount invoiced by the freelancer to the client. Your mediation agreement must transparently set out the fee structure: what amount or percentage is due, on what basis, when it is due, and how it is settled? The freelancer is entitled to insight into the rate the agency charges the client if this is relevant for assessing the market. How do you protect your direct relationship with the client as a self-employed professional?
One of the most common points of contention in mediation agreements is the post-processing clause: the agency prohibits the self-employed professional from doing business directly with the client after the completion of the mediated assignment. Conversely, the client can hire the self-employed professional directly without the agency — the exclusivity provisions do not always prevent this. Your mediation agreement must clearly define the post-processing period, the geographical scope, and the consequences of violation — both for the self-employed professional who moves directly to the client and for the client who approaches the self-employed professional directly. The Waadi ( Dutch Act on the Provision of Workers) prohibits obstacles preventing the seconded employee from entering into employment with the hirer, but permits a reasonable transition fee.
