Drafting a hiring agreement, why?

Not every entrepreneur knows exactly what a hiring agreement is, when you need them, and which risks they must cover. That is why we explain below what this document entails, what you should look out for, and why customized legal solutions are important.

What is a hiring agreement?
A hiring agreement is the agreement whereby an organization temporarily hires an external professional—a self-employed professional, a seconded worker, or an employee of a supplier—to perform work. The hiring agreement regulates the legal relationship between the hiring organization and the external professional or their intermediary agency: the nature and scope of the work, the rate, the duration, the management, the availability arrangement, and the termination conditions. The hiring agreement is closely related to the freelance agreement and the secondment agreement, but is used more frequently in the context of the public sector and larger organizations that hire external capacity via framework contracts or tendering procedures. Our lawyers draft a hiring agreement for you that is compliant with the Dutch Employment Relationships Act (Wet DBA), demonstrably excludes bogus self-employment, correctly establishes the hirer's freedom to terminate, and aligns with any framework contract obligations.
How do you prevent bogus self-employment when hiring freelancers?
As of January 1, 2025, the Tax and Customs Administration is fully enforcing the DBA Act — the enforcement moratorium has been permanently lifted. This makes DBA Act compliance in hiring agreements more urgent than ever. For every hiring relationship, the Tax and Customs Administration assesses whether the self-employed professional (ZZP) in reality functions as an employee in salaried employment. Decisive factors are the presence of authority — who determines how the work is performed? — personal performance of work — is the self-employed professional allowed to be replaced? — and integration into the organization. Your hiring agreement must contractually anchor this independence: the external professional determines their own working method, has the right to be replaced, works for multiple clients, bears their own professional risk, and is not structurally present as part of the permanent staff. Crucial: the contractual provisions must reflect the actual working method. Our lawyers assess your hiring agreement for the risk of bogus self-employment.
How do you regulate the scope, rate, and termination in the hiring agreement?
A watertight hiring agreement precisely regulates the following commercial elements. The assignment description: what specific tasks does the external professional perform, what are the deliverables, and what falls outside the scope? The hourly or half-day rate, the maximum hours to be spent or budget, and the invoicing and payment procedure. The duration: fixed-term or indefinite, with a notice period that is realistic for the nature of the work — for a short interim assignment, one to two weeks is reasonable; for a longer-term project, one month is customary. The right of termination: the hiring organization must have the freedom to terminate the hiring relationship if the external professional fails to perform or if the assignment lapses; however, a minimum notice period must apply to the external professional to protect their schedule.
