Which choices determine the content?

Before drafting the EULA, a few key choices determine the content and scope of the document.

Does the app process personal data? If so, alignment with your privacy statement and the GDPR is mandatory, and the EULA must refer to it.
Is distribution handled via app stores? App stores such as Apple and Google set their own terms and conditions; your EULA must be compatible with them.
Does the app contain third-party modules? Open source or third-party components may come with their own license terms that you must pass on or disclose.

Which components belong in an EULA app software license?

A complete EULA for an app contains the following core components. For each component, you will see when it is relevant and why it is important.

Drafting an App Software License EULA, why?

Not every entrepreneur knows exactly what EULA app software licenses are, when they are needed, and which risks they must cover. Therefore, we explain below what this document entails, what to look out for, and why customized legal solutions are important.

What is an EULA for an app?
An EULA — End User License Agreement — for an app is the license agreement between the app developer or publisher and the end user who installs and uses the app. The EULA sets out the right of use acquired by the user, the restrictions applicable to that use, the developer's liability, intellectual property rights, the privacy policy for the processing of user data, the termination of the right of use, and applicable legislation. The EULA for apps differs from a standard software license because apps are distributed via platforms such as the Apple App Store and Google Play, each of which imposes its own requirements on the EULA — requirements that must be complied with in addition to the statutory requirements of Dutch and European law. Our lawyers draft an EULA for your app that meets the requirements of the Apple App Store and Google Play, correctly integrates GDPR obligations, effectively limits liability, and respects consumer protection rules for consumer apps.
What requirements do the Apple App Store and Google Play impose on the EULA?
Both platforms impose specific requirements on the EULA of apps distributed via their platforms. Apple requires the EULA to contain certain standard provisions regarding the nature of the license — a non-exclusive, non-transferable right of use — and obliges developers to make the EULA available on the App Store page. Furthermore, Apple requires the EULA to acknowledge Apple's rights as a third party. Google Play likewise requires an acceptable use policy and sets requirements for the privacy statement accompanying the EULA. Both platforms require the EULA to respect the consumer laws of the user's jurisdiction. For Dutch and European users, this means that consumer protection provisions — the right of withdrawal for in-app purchases, the guarantee of conformity for paid apps — cannot be excluded. How do you manage the right of use and restrictions in the app-EULA?
The right of use is the core of the EULA: the user obtains a limited, non-exclusive, non-transferable right to install and use the app on their devices for personal use. The EULA must explicitly set out the restrictions on that use. Typical restrictions include a prohibition on reverse engineering, decompiling, or obtaining source code; a prohibition on copying or distributing the app or parts thereof; a prohibition on modifying or creating derivative works; a prohibition on commercial use unless expressly permitted; and a prohibition on use contrary to applicable law. For freemium apps or apps with in-app purchases, the EULA must also set out the payment and refund policy. Our lawyers draft a right of use clause that protects your intellectual property.
How do you integrate the GDPR obligations into the app EULA?
Apps almost always process users' personal data — account details, usage statistics, location data, push notification consents, payment information. The GDPR requires the app developer, as the data controller, to provide transparent information about data processing in a privacy statement attached to the EULA or inextricably linked to it. The EULA must refer to the privacy statement and stipulate that users have read and understood the privacy statement as a condition for use. For apps that share user data with third parties — analytics providers, advertising networks, social media — the EULA must be clear about that sharing. For apps for children, additional strict rules apply under the GDPR and the Digital Services Act. Our lawyers ensure a GDPR-compliant EULA with a corresponding privacy statement.
How do you handle liability and warranty for apps?
The limitation of liability in an app EULA protects the developer against user claims for damages resulting from malfunctions, bugs, data loss, or unavailability. However, statutory limitations apply to consumers: for paid apps or apps with in-app purchases, the consumer is entitled to a product that conforms to the agreement, and liability for death or injury can never be excluded. The EULA must limit liability to direct damages, exclude consequential damages for business users, and respect the statutory guarantee of conformity for consumers. The EULA must also be clear regarding the app's update and maintenance policy: is the user entitled to free updates, or are new versions treated as separate purchases? Our lawyers draft a limitation of liability that is also legally defensible for consumer users.
