Drafting an employee copyright statement, why?

Not every entrepreneur knows exactly what an employee copyright declaration is, when you need one, and which risks they must cover. That is why we explain below what this document entails, what you should look out for, and why customized legal solutions are important.

What is an employee copyright statement?

A copyright declaration establishes that the copyright to works created by an employee in the course of employment — software, websites, texts, designs — rests with the employer, and supplements the statutory regulations where they fall short. This prevents disputes regarding who holds the rights to what your people create.

Employer copyright: Article 7 of the Copyright Act

According to Article 7 of the Copyright Act, copyright in works created in the course of employment belongs to the employer, provided that three conditions are met: there is an employment contract (Article 7:610 of the Dutch Civil Code), the creation of such works is part of the employee's duties, and the employer has control over the form. This is dispositive law, so you can deviate from it contractually.

Where the statutory regulation falls short

Article 7 does not apply to freelancers and self-employed persons, nor to work created outside the scope of employment, nor always to work that existed prior to the employment relationship. In those cases, a declaration offers a solution: it explicitly transfers the copyright and closes the gaps left by the law.

Personality rights

Even if the copyright is held by the employer, the creator retains their moral rights, such as the right to attribution and the right to object to the alteration of the work (Article 25 of the Copyright Act). A declaration may stipulate that the employee waives certain moral rights to the extent possible.

Difference from a deed of transfer

A copyright statement confirms and supplements employer copyright within the employment relationship. If someone transfers rights outside of employment — for example, a freelancer — you use a copyright agreement that governs the transfer or license.
