Not every entrepreneur knows exactly what a self-employed hiring and leasing agreement entails, when they are needed, and which risks they must cover. Therefore, we explain below what this document involves, what to look out for, and why customized legal solutions are important.

What is an agreement for the hiring and leasing of self-employed professionals?
A hiring and leasing agreement for self-employed professionals is the contractual structure by which an intermediary—an agency that brokers or lends out self-employed professionals—establishes both the hiring relationship with the self-employed professional and the leasing relationship with the end client in a single integrated package. The agency leases the self-employed professional's capacity to the client and pays the self-employed professional for the hours worked. The agreement regulates the hourly rate paid by the client, the portion received by the self-employed professional, scheduling and availability, quality requirements, liability for damages, and the termination arrangement on both sides of the chain. As of January 1, 2025, the Tax and Customs Administration fully enforces the DBA Act—the hiring-leasing structure must be carefully set up to avoid bogus self-employment. Our lawyers draft an integrated package for your firm consisting of a hiring agreement with the self-employed professional and a leasing agreement with the client, which is compliant with the DBA Act and addresses the Wtta requirements as of 2027.
How do you prevent the hiring relationship with the self-employed professional from being classified as an employment contract?
The Tax and Customs Administration assesses whether the actual relationship exhibits the characteristics of an employment contract for every hiring of a self-employed professional. The most high-risk situations are: the self-employed professional works exclusively for one agency or, via the agency, exclusively for one client; the self-employed professional has no clients of their own outside the agency relationship; the agency determines the rates and scheduling rules; and the self-employed professional is embedded in the organization as if they were a regular employee. Your hiring agreement with the self-employed professional must contractually anchor the self-employed professional's independence: free working method, right of substitution, multiple clients, and own professional risk. Crucial: the contractual provisions must reflect the actual working method. Our lawyers assess your structure for the risk under the DBA Act.
